In the build-up to a listing and in the first months afterwards HR and people managers can become the \u2018front line\u2019 for questions like:&nbsp;<em>What happens to my options? Will they vest? Can I sell immediately? Should I exercise my shares<\/em><\/strong><em>?<\/em><\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Putting in place a structured communication plan around your employee equity can work to reduce uncertainty, build trust and reinforce a powerful message at this crucial time, that employees are part of this success, that they are owners and their ownership matters.<\/p>\n\n\n            <h2  class=\"block-heading main-heading  heading-left\">Replace the rumour mill with clarity<\/h2>\n        \n\n\n<p class=\"wp-block-paragraph\">In a liquidity event, whether that\u2019s an IPO, M&amp;A (merger, acquisition) or other corporate transaction silence creates a vacuum. If employees don\u2019t have timely, plain-language information, they will fill those gaps with speculation, often the most anxious version of the story.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Your job isn\u2019t to predict the stock price or provide personal financial advice, it\u2019s to&nbsp;<strong>set expectations, explain mechanics and provide a reliable single source of truth for them.<\/strong> Being upfront with the message that <strong>we\u2019ll share what we can, when we can and we\u2019ll explain what we can\u2019t share yet<\/strong> signals openness, structure and understanding.<\/p>\n\n\n            <h2  class=\"block-heading main-heading  heading-left\">Know what equity awards you have before you communicate<\/h2>\n        \n\n\n<p class=\"wp-block-paragraph\">Before launching an educational push align internally on your core equity policy points. Creating a database of information and list of frequently asked questions will help to keep responses consistent.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">You should know:<\/p>\n\n\n    <ul  class=\"gs-list-block\">\n                                    <li><b>What types of awards exist<\/b> in your company, e.g. SIPs (Share Incentive Plans), EMI (Enterprise Management Incentives), SAYE (Save As You Earn) etc.<\/li>\n                            <li><b>Who holds what<\/b>, broadly speaking e.g. do early hires have different types of awards, are most recent grants EMI options, etc.<\/li>\n                            <li><b>What will not change<\/b>, this might include the ownership of granted awards and the vesting schedule.<\/li>\n                            <li><b>What may change<\/b>, such as taxation,  trading windows, blackout periods, lockup rules and disclosure constraints.<\/li>\n                        <\/ul> <!-- .gs-list-block -->\n\n\n\n<p class=\"wp-block-paragraph\">If you\u2019re not aligned internally employees will get different answers from different people which can erode confidence fast and cause misinformation to spread.<\/p>\n\n\n            <h2  class=\"block-heading main-heading  heading-left\">Target your communications: one size won\u2019t fit all<\/h2>\n        \n\n\n<p class=\"wp-block-paragraph\">Equity outcomes can vary widely so segment your approach accordingly:<\/p>\n\n\n    <ul  class=\"gs-list-block\">\n                                    <li><b>Newer hires<\/b> may need equity 101 type answers<\/li>\n                            <li><b>Early, long-serving employees<\/b> may ask about exercise timing, retention and tax treatment<\/li>\n                            <li><b>Global employees<\/b> may need localized guidance since tax treatment and rules will differ by country<\/li>\n                            <li><b>People managers<\/b> might benefit from talk tracks and guidance with Q&amp;A handling instructions. Don\u2019t be afraid to give managers the power to say \u201cI don\u2019t know yet\u201d. <\/li>\n                        <\/ul> <!-- .gs-list-block -->\n\n\n\n<p class=\"wp-block-paragraph\">Localisation is also important. If your workforce is global then effective translations could be crucial, while accessibility is critical.<\/p>\n\n\n<div  class=\"highlighted-text-block\">\n\n    <p><strong>Jackson Vaught, Executive Director of Employee Engagement for J.P. Morgan Workplace Solutions<\/strong> says, <em>\u201cif you have a global workforce, be intentional about when and how communications are sent across regions. Coordinating around local working hours, for example, can lead to an uptick in engagement with whatever you\u2019re messaging.\u201d\u00a0<\/em><\/p>\n\n<\/div> <!-- .highlighted-text-block -->\n\n            <h2  class=\"block-heading main-heading  heading-left\">Address the questions employees are already asking (and the ones they\u2019re afraid to ask)<\/h2>\n        \n\n\n<p class=\"wp-block-paragraph\">Equity is complex and an IPO may not be something that your employees have been through before, so they will have questions and concerns about their awards and how these might be impacted.<\/p>\n\n\n            <h2  class=\"block-heading main-heading  heading-left\">1) \u201cDo I need to do anything right now?\u201d<\/h2>\n        \n\n\n<p class=\"wp-block-paragraph\">Employees will&nbsp;benefit from understanding timelines, personal data accuracy (address, tax forms), what the taxable events are and reminders of how to access their plan portal.<\/p>\n\n\n            <h2  class=\"block-heading main-heading  heading-left\">2) \u201cWhat happens to my stock options at IPO?\u201d<\/h2>\n        \n\n\n<p class=\"wp-block-paragraph\">It\u2019s important for HR to&nbsp;avoid telling employees what they should do.&nbsp;Instead present information as \u201chere are the common considerations; you may wish to consult a tax advisor\u201d and explain clearly:<\/p>\n\n\n    <ul  class=\"gs-list-block\">\n                                    <li><b>Vested vs. unvested:<\/b> vesting usually continues on the existing schedule.<\/li>\n                            <li><b>Exercising is a choice:<\/b> employees may be able to exercise before or after IPO depending on plan rules, but the timing can have tax implications.<\/li>\n                            <li><b>Strike price:<\/b> employees should understand this is the price to buy stocks (if they choose to exercise).<\/li>\n                            <li><b>Restricted stocks:<\/b> what is your company\u2019s policy on these once public? <\/li>\n                        <\/ul> <!-- .gs-list-block -->\n\n\n            <h2  class=\"block-heading main-heading  heading-left\">3) \u201cWhen can I sell?\u201d <\/h2>\n        \n\n\n<p class=\"wp-block-paragraph\">For many IPOs, there\u2019s a&nbsp;<strong>lockup period<\/strong>&nbsp;(often ~90\u2013180 days) where employees can\u2019t sell. Even after lockup, there may be&nbsp;<strong>blackout periods, restrictions<\/strong>&nbsp;and&nbsp;<strong>trading windows<\/strong>, plus internal policies around material non-public information, depending on the industry you are operating in or a range of other factors, even including what market you list on. These are all things your employees may not have had to take into account before.<\/p>\n\n\n<div  class=\"highlighted-text-block\">\n\n    <p><strong>Key takeaway:<\/strong> Get your facts straight first. This is where calm clarity matters most. Your employees don\u2019t need hype, they need a timeline and rules-of-the-road.<\/p>\n\n<\/div> <!-- .highlighted-text-block -->\n\n            <h2  class=\"block-heading main-heading  heading-left\">Your employees\u2019 questions won\u2019t stop at IPO \u2013 it\u2019s an ongoing journey <\/h2>\n        \n\n\n<p class=\"wp-block-paragraph\">After listing they will likely need help with:<\/p>\n\n\n    <ul  class=\"gs-list-block\">\n                                    <li>brokerage access and account setup,<\/li>\n                            <li>trading windows\/blackouts,<\/li>\n                            <li>tax documents and withholding,<\/li>\n                            <li>future grant strategy (many companies adjust equity programs post-IPO).<\/li>\n                        <\/ul> <!-- .gs-list-block -->\n\n\n\n<p class=\"wp-block-paragraph\">Keep up the communications cadence. <strong>Consistency signals stability and stability boosts morale.<\/strong><\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Equity compensation is more than a benefit, it\u2019s a story about shared effort and shared outcomes.
